Terms and Conditions for Professionals

This agreement is between you and Vastoco Private Limited ("Vastoco"). If you register for a firm, you confirm that you are authorised to bind it. By registering you also accept our Terms and Conditions, the Privacy Policy and the Conditions of Use for Professionals.

• You are an independent professional. Nothing here makes you an employee, agent, partner or representative of Vastoco, and nothing makes Vastoco one of yours.
• The consultation contract is between you and the client. You are responsible for your advice, drawings, designs and deliverables, and for your licences and insurance.
• Vastoco is a technology marketplace and an intermediary. It does not supervise or control your professional judgement.

You must give true and complete details and genuine documents. We review them manually. We may approve, reject, ask for more information, hide an expired profile or suspend access while a concern is reviewed. Verification is a review at a point in time and is not a warranty. You must keep it current and tell us at once about any change that affects it.

• It is free to create a profile and to appear in organic search results. Ranking is based on merit, not payment.
• Vastoco deducts a 15% platform commission from your eligible consultation fee at payout. It is never added to the client's price. Commission does not apply to work you agree with a client after the consultation, off the platform.
• Every professional receives leads. To view lead details and respond, you need an active paid plan. The price, features, billing period and renewal terms are shown before you buy.
• A sponsored placement, if offered, is clearly labelled and separate from organic results. Its price and terms are shown before you buy.
• We do not guarantee leads, bookings, income, ranking or business results.
• GST and any other taxes on our commission and plan fees are added as the law requires, and we issue you an invoice.

• The client pays through our payment partner, Razorpay. Your payout is the consultation fee less our commission.
• A payout is released only after you submit the Outcome Summary, and then on the payment partner's settlement timeline to your verified bank account.
• To receive payouts you must complete the payment partner's bank and KYC checks. Bank details are collected by the payment partner for payouts.
• If a client is refunded under our policies, the refund comes from the related payout. We may hold or reverse a payout where there is suspected fraud, a complaint under review, a chargeback or a legal order, and we will tell you why.

• You are responsible for your own tax: GST registration and invoices where required, income tax and any other duty.
• Where the law requires, Vastoco will deduct tax at source or collect tax on payouts and give you statements. Please keep your PAN and, where applicable, GSTIN up to date.

• Everything you give us is true, and you have the right to share it.
• You follow the law and the rules of your profession, and you do not make misleading claims.
• You own or have permission for all content you upload, and it does not infringe anyone's rights.
• You treat client data as described in the Conditions of Use for Professionals and in the Privacy Notice for Professionals.

You keep ownership of your profile, portfolio and other content. You give Vastoco a non-exclusive, worldwide, royalty-free licence to host, resize, format and display it on the platform to operate, secure and improve it. We will not use your work in paid advertising or social media promotion without separate consent. Vastoco's brand, software and platform materials belong to Vastoco.

You are responsible for your professional advice and work. To the extent the law allows, you will cover substantiated third-party claims and reasonable costs caused by your unlawful conduct, your content or your breach of these terms. This does not apply to losses caused by Vastoco's own breach or negligence.

Vastoco does not guarantee that any client, booking or income will result from the platform. Nothing here excludes liability that cannot lawfully be excluded.

Either of us may end this agreement. We may suspend or end your access for the reasons in the Conditions of Use for Professionals. Bookings already confirmed and payouts already earned are settled according to these terms and the law. You may appeal a suspension through the Grievance Officer.

Indian law applies. Please first raise the issue with our Grievance Officer. Disputes that remain unresolved are handled as set out in the complaints and dispute resolution section of our Terms and Conditions: arbitration seated at Agra, Uttar Pradesh for commercial disputes that can be arbitrated, and the courts at Agra for the rest. Nothing in this document stops a consumer from approaching a Consumer Commission or using any other remedy that the law gives.
